Audio / Video Agreement

This Audio / Video Agreement ("Agreement") is entered into by and between the individual indicated below ("Presenter") and the Storage Networking Industry Association, with offices located at 425 Market Street, Suite 1020, San Francisco, CA 94105 USA ("SNIA").

WHEREAS, SNIA hosts or co-hosts events covering various topics and themes and provides SNIA Tutorials that may be presented at other events;

WHEREAS, I have agreed to present the Presentation identified above.

NOW THEREFORE, for good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, I do hereby grant SNIA the non-exclusive, worldwide, perpetual, and royalty-free rights:

(1) to audio record, video record, and photograph my Presentation (the "A/V Materials");

(2) to edit, print, reprint, publish, reproduce, transcribe, use, adapt, modify, display, make derivative works from, publicly perform, broadcast, podcast, and distribute the A/V Materials in their entirety, or any portion thereof, provided that any modifications, derivative works, or excerpts do not introduce inaccuracies or are misleading as to the original context, alone or in conjunction with other works, in audio, print (electronic or digital form) including but not limited to the exercise of such rights through printed newsletters, Internet or Intranet sites, computer on-line services, and all other media and distribution mechanisms now known or later developed, as well as the storage, retrieval, transmission, display, output, and reproduction of data through any such media and technologies, all in connection with subsequent education-related events;

(3) to use my name, voice, photograph, and likeness in connection with the exercise of the rights granted in this Agreement: and

(4) to license to third parties any of the rights contained herein for the sole purpose of duplicating the A/V Materials for distribution.

In order to enable SNIA to use the A/V Materials in the manner it deems best, I hereby release and discharge SNIA, including without limitation its Board of Directors, officers, and employees, from any and all claims that I may have against it by use of these A/V Materials, except for acts of willful misconduct or gross negligence. I warrant that I have full power to convey the rights granted in this Agreement.

The validity, construction, and performance of this Agreement shall be governed by the laws of the United States without regard to principles of conflict of law. Any dispute arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the state or federal courts of California, and both parties consent to exclusive jurisdiction in such court.
